1. Introduction
Welcome to Negotio ("Negotio", "Platform", "we", "our", or "us"), an AI-assisted platform that enables individuals, businesses, and organizations to create, collaborate on, negotiate, manage, and organize agreements digitally.
These Terms of Service ("Terms") govern your access to and use of:
- letsnegotio.com;
- the Negotio web application;
- any mobile applications that we may make available;
- APIs, integrations, and related software;
- and all associated products, services, features, content, and functionality offered by Ambrosiac Private Limited (collectively, the "Services").
By creating an account, accepting an invitation to collaborate, accessing, or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
If you do not agree to these Terms, you must not access or use the Services.
These Terms constitute a legally binding agreement between you and Ambrosiac Private Limited, the operator of Negotio.

Negotio provides software that assists users in creating, discussing, negotiating, organizing, and managing agreements and related communications. Certain features of the Services may use artificial intelligence ("AI") to generate summaries, drafting suggestions, action items, consensus analysis, or other recommendations intended to assist users during collaboration.
Unless expressly stated otherwise, Negotio acts solely as a technology platform.
Negotio is not:
- a law firm;
- a legal advisor;
- a mediator;
- an arbitrator;
- a financial advisor;
- or a representative of any party using the Services.
Users remain solely responsible for reviewing, negotiating, approving, executing, and complying with any agreements created, shared, or managed through the Platform. AI-generated outputs are intended solely to assist users and should not be relied upon as legal, financial, business, or professional advice.
Geographic Availability
The Services may be made available globally unless restricted by applicable law or unless we specifically limit availability in certain jurisdictions. You are responsible for ensuring that your use of the Services complies with the laws applicable to your jurisdiction.
2. Changes to These Terms
We may update or modify these Terms from time to time to reflect changes in our Services, applicable laws, business practices, or for other operational reasons.
When we make material changes, we may notify you through the Platform, by email (if you have provided one), or by any other reasonable means. Minor changes that do not materially affect your rights may become effective immediately upon publication. Unless otherwise stated, any revised Terms become effective when posted on the Platform.
Your continued access to or use of the Services after the updated Terms become effective constitutes your acceptance of the revised Terms. If you do not agree with any changes, you must discontinue using the Services. We encourage you to review these Terms periodically to stay informed of any updates.
3. Eligibility and Age Requirements
To use the Services, you must:
- be at least 18 years of age, or the legal age required to enter into a binding contract in your jurisdiction, whichever is higher;
- have the legal capacity and authority to enter into these Terms;
- comply with all applicable laws and regulations while using the Services.
If you are accessing or using the Services on behalf of a company, partnership, organization, government entity, or any other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. In such cases, references to "you" include both the individual using the Services and the legal entity they represent.
The Services are not intended for individuals who do not meet these eligibility requirements. We reserve the right to suspend or terminate accounts that do not comply with this Section.
4. Accounts and Registration
To access certain features of the Services, you may be required to create an account or be invited to join an existing workspace, organization, or agreement through the Platform ("Account").
You agree to provide accurate, complete, and up-to-date information during registration and to keep your Account information current at all times. You are responsible for all activities conducted through your Account, whether performed directly by you or by any person using your login credentials.
If you create or use an Account on behalf of a company, business, partnership, government body, or other legal entity, you represent and warrant that you have the authority to act on behalf of that entity and to bind it to these Terms.
Certain features of the Services may allow users to invite other individuals to collaborate on agreements, workspaces, negotiations, or related activities. Each invited user is responsible for complying with these Terms. The individual or organization sending invitations remains responsible for ensuring that invitations are sent only to persons they are authorized to invite.
You must not:
- create an Account using false or misleading information;
- impersonate another individual or organization;
- create Accounts for fraudulent or unlawful purposes;
- circumvent account restrictions or suspensions;
- transfer, sell, or assign your Account without our prior written consent.
We reserve the right to refuse registration, suspend, restrict, or terminate any Account that violates these Terms, applicable law, or that we reasonably believe presents a security, legal, or operational risk to the Platform or its users.
You may delete your Account at any time through the Services where available or by contacting our support team. Account deletion and retention of information will be handled in accordance with our Privacy Policy and applicable law. Where supported by the Services, users may export their User Content before account deletion. Following termination, access to User Content may be removed in accordance with our retention policies and applicable law.
5. Account Security
You are responsible for maintaining the confidentiality of your Account credentials, including your username, password, and any authentication methods associated with your Account. You are solely responsible for all activities that occur under your Account unless such activities result directly from our negligence or failure to maintain reasonable security measures.
You agree to:
- use a strong and unique password for your Account;
- keep your login credentials confidential;
- not share your Account with any other person unless expressly permitted by the Services;
- promptly update your password if you believe your Account has been compromised;
- notify us immediately if you become aware of any unauthorized access to or use of your Account.
We may implement additional security measures from time to time, including multi-factor authentication, email verification, identity verification, session management, or other security controls. While we employ reasonable technical and organizational safeguards to protect the Services, no internet-based service can guarantee absolute security. You acknowledge that you use the Services at your own risk and are responsible for taking reasonable precautions to protect your Account and devices.
We reserve the right to suspend or temporarily restrict access to your Account where we reasonably believe it has been compromised or is being used in violation of these Terms, until appropriate verification or remedial action has been completed.
6. Acceptable Use and Prohibited Activities
To ensure a safe, secure, and reliable experience for all users, you agree to use the Services only in accordance with these Terms and all applicable laws. You agree not to use the Services to:
A. Illegal or Harmful Activities
- violate any applicable law, regulation, court order, or contractual obligation;
- facilitate fraud, identity theft, money laundering, or other unlawful activities;
- infringe or misappropriate the intellectual property, privacy, publicity, or other rights of any person or entity;
- upload, store, transmit, or share content that is defamatory, obscene, hateful, discriminatory, harassing, abusive, or otherwise unlawful.
B. Platform Misuse
- interfere with or disrupt the Services or their underlying infrastructure;
- attempt to gain unauthorized access to any account, system, network, or data;
- probe, scan, or test the vulnerability of the Platform without our prior written authorization;
- introduce viruses, malware, ransomware, malicious code, or other harmful technologies;
- interfere with another user's access to or use of the Services.
C. Automated Access
Except where expressly permitted by us in writing or through published APIs, you must not:
- scrape, crawl, or systematically extract data from the Platform;
- use bots or automated scripts to create accounts or access the Services;
- overload or attempt to overload our systems through automated requests;
- bypass usage limits, security controls, or rate limits.
D. Misuse of AI Features
You must not use AI-powered features to:
- generate unlawful, fraudulent, or deceptive content;
- impersonate another individual or organization;
- create misleading or fabricated agreements intended to deceive others;
- intentionally generate harmful, abusive, discriminatory, or illegal content;
- attempt to manipulate, reverse engineer, or exploit AI systems in a manner that compromises the integrity or security of the Services.
AI-generated outputs are intended to assist users and should always be reviewed by the parties before being relied upon or incorporated into any agreement.
E. User Responsibilities
You are responsible for ensuring that:
- you have the necessary rights and permissions to upload any documents, content, or information to the Services;
- your use of the Platform does not violate any confidentiality obligations owed to third parties;
- all information you provide through the Services is truthful and not intentionally misleading.
We reserve the right, but are not obligated, to investigate suspected violations of this Section and to suspend, restrict, remove content, or terminate Accounts where we reasonably believe these Terms have been violated or where such action is necessary to protect the Services, our users, or comply with applicable law.
7. Intellectual Property and Ownership
A. Ownership of the Platform
The Services, including the Platform, software, source code, user interface, workflows, designs, graphics, logos, trademarks, service marks, databases, documentation, AI models (where owned by us), and all related intellectual property rights are owned by or licensed to Ambrosiac Private Limited and are protected by applicable intellectual property laws. Except for the limited right to access and use the Services in accordance with these Terms, nothing in these Terms transfers any ownership rights to you.
B. Ownership of User Content
You retain ownership of all documents, agreements, text, comments, files, images, attachments, and other content that you upload, create, submit, or store using the Services ("User Content"). Nothing in these Terms transfers ownership of your User Content to Negotio.
C. License Granted to Negotio
To operate the Services, you grant Negotio a worldwide, non-exclusive, royalty-free, revocable (subject to technical and legal limitations), limited license to:
- host your User Content;
- store and process your User Content;
- transmit your User Content to users you authorize;
- create backups;
- generate previews, summaries, and AI-assisted outputs;
- and otherwise use your User Content solely as necessary to provide, maintain, secure, improve, and support the Services.
This license does not permit Negotio to sell your User Content or publicly distribute it except where required to provide the Services or comply with applicable law.
You grant Ambrosiac Private Limited a worldwide, non-exclusive, royalty-free license to host, store, reproduce, transmit, adapt (for formatting/translation), and display your User Content solely to operate, maintain, and provide the Services to you and the collaborators you authorize. This license ends when you delete the User Content or your Account, except for backup copies retained per our retention schedule.
D. AI-Generated Content
The Services may generate summaries, recommendations, drafting suggestions, negotiation insights, or other AI-assisted outputs based on User Content. Subject to applicable law and any rights of third parties, you may use these AI-generated outputs as part of your User Content. However, you remain solely responsible for reviewing, editing, validating, and deciding whether to rely upon or use any AI-generated output. Negotio does not claim ownership over agreements or documents created by users solely because AI features assisted in their preparation.
E. Feedback
If you voluntarily provide suggestions, enhancement requests, recommendations, bug reports, or other feedback regarding the Services ("Feedback"), you grant Negotio a perpetual, worldwide, irrevocable, royalty-free license to use, modify, incorporate, and otherwise exploit such Feedback without restriction or compensation to you. Feedback will not include your confidential business information unless you intentionally choose to disclose it.
F. Reservation of Rights
Except for the limited rights expressly granted under these Terms, all rights, title, and interest in and to the Services remain reserved by Ambrosiac Private Limited and its licensors.
8. User Content
A. Definition of User Content
"User Content" means any information, documents, agreements, drafts, templates, comments, messages, attachments, files, images, data, or other material that you or users acting on your behalf upload, create, import, submit, generate, edit, or store through the Services. User Content may include content created manually by users as well as content generated with the assistance of AI features available through the Platform.
B. Responsibility for User Content
You are solely responsible for all User Content associated with your Account. You represent and warrant that:
- you own or have all necessary rights, permissions, and authority to upload, share, modify, or otherwise use the User Content through the Services;
- your User Content does not violate any applicable law, contractual obligation, confidentiality obligation, or the intellectual property or other rights of any third party;
- your User Content is not knowingly false, fraudulent, misleading, or unlawful.
Negotio does not review all User Content and does not endorse or verify its legality, completeness, accuracy, enforceability, or suitability.
C. Collaboration
The Services may allow multiple authorized users to access, review, comment on, edit, negotiate, or otherwise collaborate on User Content. By inviting another user or granting them access to User Content, you acknowledge and agree that:
- such users may view, comment on, edit, or otherwise interact with the content according to the permissions you grant;
- Negotio is not responsible for disputes arising between collaborators;
- you are responsible for ensuring that you grant access only to persons you authorize.
D. Confidential Information
Many users may use the Services to manage confidential or commercially sensitive information. While Negotio implements reasonable technical and organizational measures to protect User Content, you remain responsible for determining whether the Services are appropriate for storing your confidential information and for managing permissions granted to collaborators. Nothing in these Terms transfers ownership of confidential information to Negotio.
E. AI Processing of User Content
Where you choose to use AI-powered features, certain User Content may be processed for the purpose of generating summaries, drafting assistance, recommendations, negotiation insights, or other AI-assisted functionality. Such processing is carried out solely for the purpose of providing the requested Services and is subject to our Privacy Policy. Users should review all AI-generated outputs before relying upon or incorporating them into any agreement or decision.
F. Monitoring and Removal
Negotio is not obligated to monitor User Content. However, we reserve the right, where reasonably necessary, to investigate, restrict access to, remove, or disable User Content that we reasonably believe:
- violates these Terms;
- violates applicable law;
- infringes the rights of another person;
- threatens the security or operation of the Services; or
- exposes Negotio or its users to legal or security risks.
Where reasonably practicable, we may notify affected users before or after taking such action.
G. Backup and Retention
While Negotio maintains reasonable backup and disaster recovery procedures, users remain responsible for maintaining copies of any User Content that they consider important. Retention and deletion of User Content following account closure or deletion are governed by our Privacy Policy and applicable law.
H. User Responsibility for Agreements
Negotio provides software that assists users in creating, negotiating, organizing, and managing agreements. Users remain solely responsible for:
- reviewing all agreements;
- determining whether agreements accurately reflect their intentions;
- obtaining legal or professional advice where appropriate;
- approving and executing agreements;
- complying with the terms of any agreement created or managed using the Services.
Negotio is not a party to agreements created through the Platform and assumes no responsibility for their validity, enforceability, performance, or legal effect.
9. Copyright and Intellectual Property Complaints
Negotio respects the intellectual property rights of others and expects all users of the Services to do the same. If you believe that any content available through the Services infringes your copyright or other intellectual property rights, you may notify us by submitting a written notice containing the following information:
- your physical or electronic signature;
- identification of the copyrighted work or other intellectual property that you claim has been infringed;
- identification of the allegedly infringing material, including sufficient information to enable us to locate it within the Services;
- your name, postal address, email address, and telephone number;
- a statement that you have a good faith belief that the disputed use is not authorized by the intellectual property owner, its agent, or applicable law; and
- a statement that the information provided in your notice is accurate and, where applicable, that you are authorized to act on behalf of the owner of the intellectual property rights.
Upon receiving a valid notice, we may investigate the matter and, where appropriate, remove or disable access to the allegedly infringing material, notify the affected user, or take any other action we consider appropriate under applicable law. We reserve the right to suspend or terminate the Accounts of users who repeatedly infringe the intellectual property rights of others.

10. Assumption of Risk and Release
Your use of the Services is entirely voluntary and at your own discretion. To the maximum extent permitted by applicable law, you acknowledge and agree that you are solely responsible for:
- your use of the Services;
- your interactions with other users;
- your decisions during negotiations;
- your review, approval, execution, and performance of any agreements created or managed through the Platform; and
- any consequences arising from your reliance on information, recommendations, or AI-generated outputs provided through the Services.
Negotio provides technology that facilitates collaboration and agreement management. We are not a party to any agreement created, negotiated, or executed through the Services and are not responsible for the conduct, representations, promises, or obligations of any user or third party.
Accordingly, to the fullest extent permitted by applicable law, you agree to release and hold harmless Ambrosiac Private Limited, its directors, officers, employees, contractors, affiliates, licensors, and service providers from any claims, demands, damages, liabilities, losses, costs, or expenses arising out of or relating to:
- your use or misuse of the Services;
- disputes between users or collaborators;
- the content, validity, interpretation, negotiation, execution, performance, or enforcement of any agreement created or managed through the Platform;
- your reliance on AI-generated outputs or other automated suggestions;
- your violation of these Terms or applicable law; or
- your infringement of the rights of any third party.
Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited under applicable law.
11. Privacy
Your privacy is important to us. Our collection, use, storage, processing, disclosure, retention, and protection of personal information are governed by our Privacy Policy, which forms an integral part of these Terms and is incorporated by reference.
By accessing or using the Services, you acknowledge that you have read and understood our Privacy Policy and consent to the collection, use, and processing of your information in accordance with that policy and applicable law.
Where the Services allow you to upload, create, or share User Content, you acknowledge that such content may be processed as necessary to provide the Services, including facilitating collaboration, storing documents, generating AI-assisted features that you choose to use, maintaining security, preventing fraud, and complying with legal obligations. You are responsible for ensuring that you have the necessary rights and permissions to upload any personal information or confidential information belonging to another individual or organization.
If you choose to close your Account, delete content, or discontinue using the Services, the handling, retention, and deletion of your information will be governed by our Privacy Policy and applicable legal requirements.
12. Limitation of Liability
To the fullest extent permitted by applicable law, Ambrosiac Private Limited, its directors, officers, employees, affiliates, licensors, contractors, service providers, and partners shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to:
- loss of profits;
- loss of revenue;
- loss of business opportunities;
- loss of goodwill;
- loss of anticipated savings;
- loss, corruption, or alteration of data;
- business interruption; or
- any other commercial or economic loss,
arising out of or relating to your access to, use of, inability to use, or reliance upon the Services, whether based on contract, tort (including negligence), statute, or any other legal theory, even if we have been advised of the possibility of such damages.
Without limiting the foregoing, Negotio shall not be responsible for:
- the content, legality, enforceability, or outcome of agreements created or managed through the Services;
- disputes between users, collaborators, customers, suppliers, employers, employees, or any other third parties;
- decisions made by users based on AI-generated summaries, recommendations, drafting assistance, or other automated outputs;
- interruptions, delays, outages, or failures caused by internet services, third-party providers, cloud infrastructure, payment processors, authentication providers, or events beyond our reasonable control;
- unauthorized access resulting from compromised user credentials, except to the extent caused by our failure to implement reasonable security measures.
To the maximum extent permitted by law, our aggregate liability arising out of or relating to the Services shall not exceed the greater of:
- the total amount paid by you to Negotio for the Services during the twelve (12) months immediately preceding the event giving rise to the claim; or
- INR 5,000 (or the equivalent in your local currency).
Nothing in these Terms excludes or limits liability for:
- fraud or fraudulent misrepresentation;
- wilful misconduct;
- death or personal injury caused by negligence where such limitation is prohibited by law; or
- any liability that cannot lawfully be excluded or limited under applicable law.
13. Indemnification
To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Ambrosiac Private Limited, its directors, officers, employees, contractors, affiliates, licensors, service providers, and partners from and against any claims, demands, actions, proceedings, liabilities, damages, judgments, settlements, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:
- your access to or use of the Services;
- your User Content;
- your violation of these Terms or any applicable law or regulation;
- your infringement or alleged infringement of the intellectual property, privacy, confidentiality, or other rights of any person or entity;
- any agreement, negotiation, transaction, or relationship entered into, managed, or facilitated through the Services;
- your misuse of AI-generated outputs or your reliance on such outputs without appropriate review; or
- your negligent, fraudulent, or wrongful acts or omissions.
Negotio reserves the right, at its own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you. You may not settle any claim that imposes any obligation or liability on Negotio without our prior written consent, which shall not be unreasonably withheld or delayed.
14. Disclaimers
The Services are provided on "as is" and "as available" basis, to the fullest extent permitted by applicable law.
While Negotio strives to provide a reliable, secure, and continuously improving platform, we do not warrant or guarantee that the Services will be uninterrupted, error-free, secure, or free from bugs, viruses, or other harmful components.
Negotio is a software platform designed to assist users in creating, negotiating, collaborating on, and managing agreements. We do not provide legal, financial, tax, accounting, compliance, investment, or other professional advice.
Any templates, sample clauses, AI-generated content, drafting suggestions, summaries, recommendations, negotiation insights, or other materials made available through the Services are provided solely for informational and productivity purposes. They are not legal opinions and should not be relied upon as a substitute for independent professional advice. You are solely responsible for reviewing, modifying, approving, and deciding whether to rely upon any agreement, clause, recommendation, or AI-generated output before using, sharing, executing, or acting upon it.
Negotio makes no representation or warranty that:
- any agreement created or managed through the Services is legally valid, enforceable, complete, or appropriate for your specific circumstances;
- any AI-generated output is accurate, complete, current, unbiased, or suitable for your intended purpose;
- negotiations conducted through the Services will result in an agreement or any particular commercial outcome;
- use of the Services will satisfy any legal, regulatory, contractual, or compliance requirement applicable to you or your organization.
You acknowledge that laws vary by jurisdiction and change over time. You are responsible for obtaining independent professional advice whenever appropriate. Some jurisdictions do not permit the exclusion of certain warranties. In such jurisdictions, the above exclusions shall apply only to the maximum extent permitted by applicable law.
15. Applicable Law and Legal Compliance
The Services are intended to comply with applicable laws and regulations governing their operation. You agree to use the Services only in accordance with these Terms and all applicable local, state, national, and international laws and regulations. Where required under applicable law, Negotio may cooperate with lawful requests from courts, law enforcement agencies, regulatory authorities, or other competent governmental bodies.
Nothing in these Terms limits our right to investigate suspected violations of these Terms or applicable law, or to take appropriate action, including restricting or terminating access to the Services where reasonably necessary. If any provision of these Terms conflicts with a mandatory requirement of applicable law, that provision shall be interpreted or modified only to the extent necessary to comply with such law, and the remaining provisions shall continue in full force and effect.
16. Accuracy of Information and AI Outputs
Negotio is designed to assist users in creating, negotiating, reviewing, and managing agreements. While we strive to provide accurate, reliable, and useful Services, we do not guarantee that any information, content, AI-generated output, template, recommendation, summary, or drafting assistance made available through the Services will be accurate, complete, current, reliable, or suitable for your specific circumstances.
AI-generated outputs are produced using automated systems and may contain inaccuracies, omissions, outdated information, or content that is inappropriate for your intended purpose. Such outputs are provided solely as an aid to your work and should not be treated as legal, financial, tax, compliance, or other professional advice.
You are solely responsible for independently reviewing, verifying, and determining the suitability of all agreements, clauses, recommendations, summaries, and other outputs before relying upon, sharing, approving, executing, or acting upon them.
The Services may include information or content contributed by users or other third parties. Negotio does not independently verify such content and is not responsible for its accuracy, completeness, legality, or reliability. We may update, improve, modify, or remove content, templates, AI models, features, or functionality at any time in our ongoing effort to improve the Services.
17. Third-Party Services, Integrations, and Links
The Services may contain links to, integrate with, or enable access to third-party websites, applications, products, services, or resources that are not owned or controlled by Ambrosiac Private Limited. These may include, without limitation:
- payment processors;
- identity and authentication providers;
- cloud hosting providers;
- AI service providers;
- communication and email services;
- document storage services;
- electronic signature providers;
- productivity and business software integrations; and
- other third-party services that you choose to connect to your Account.
These third-party services are provided solely for your convenience. Negotio does not control and is not responsible for the availability, content, accuracy, privacy practices, security, functionality, or performance of any third-party service.
Your use of any third-party service is governed solely by the terms, conditions, and privacy policies of the applicable third party. We encourage you to review those terms before using or connecting such services. Negotio shall not be liable for any loss, damage, or liability arising from or relating to your use of, reliance upon, or inability to access any third-party website, application, product, service, or integration. The inclusion of any third-party service or integration does not imply any endorsement, sponsorship, or recommendation by Negotio unless expressly stated otherwise.
18. Compliance
You agree to comply with these Terms and all applicable laws, regulations, and legal requirements in connection with your access to and use of the Services. You are responsible for ensuring that your use of the Services, including any User Content you upload, create, share, or manage, complies with all laws, regulations, contractual obligations, and internal policies applicable to you or your organization.
If you use the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms and that your use of the Services complies with the organization's applicable policies and requirements.
Negotio reserves the right to suspend or terminate access to the Services if we reasonably believe that your use of the Services violates these Terms or applicable law. Nothing in these Terms requires Negotio to monitor user activity or determine whether any particular use of the Services complies with laws applicable to you. Responsibility for such compliance remains solely with you.
19. General
These Terms constitute the entire agreement between you and Ambrosiac Private Limited regarding your access to and use of the Services and supersede all prior or contemporaneous agreements, understandings, communications, and representations relating to the Services.
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or other competent authority, that provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable, or, if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.
Our failure or delay in exercising any right or remedy under these Terms shall not constitute a waiver of that right or remedy. Any waiver must be in writing and shall apply only to the specific instance for which it is given.
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations under these Terms as part of a merger, acquisition, corporate restructuring, sale of assets, or by operation of law, provided such transfer does not materially reduce your rights under these Terms.
Nothing in these Terms creates any partnership, joint venture, agency, fiduciary, employment, or other similar relationship between you and Ambrosiac Private Limited.
These Terms are governed by the laws of Maharashtra, India, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts located in Pune, Maharashtra, India, unless applicable law requires otherwise.
Section headings are provided for convenience only and shall not affect the interpretation of these Terms. Any provisions of these Terms that by their nature should survive termination, including but not limited to provisions relating to intellectual property, payment obligations, disclaimers, limitation of liability, indemnification, dispute resolution, and governing law, shall survive the termination or expiration of these Terms.
